1. About these terms

These Terms of Service ("Terms") are an agreement between you and NOOA Energies Ltd ("NOOA Energies", "we", "us" or "our"), the operator of NOOA Pay. They apply to the NOOA Pay mobile app, the website at nooapay.com, and all services offered through them (together, the "Service").

By creating an account, downloading the app or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use NOOA Pay.

2. What NOOA Pay does

NOOA Pay lets you pay bills and buy services in Uganda from your mobile money wallet. These include electricity (prepaid tokens and postpaid bills), water, TV subscriptions, airtime, data and voice bundles, school fees, and government payments such as URA, KCCA and NSSF.

NOOA Pay is a payment facilitation platform. We send your payment instruction to the relevant biller through our payment network partners, and you approve each payment with your own MTN Mobile Money or Airtel Money PIN. We are not the biller, the school, the utility or the mobile network, and we do not supply the underlying goods or services.

You are responsible for everything done through your account. Please keep your password and your phone secure and do not share them. Your mobile money PIN is entered only on the prompt from your mobile money provider; NOOA Pay never asks for it, and neither should anyone claiming to represent us.

Tell us immediately at support@nooapay.com if you think someone else has accessed your account or your wallet. We may suspend your account to protect you while we investigate.

The app checks that it is running on a trusted device before allowing payments. We may refuse to let the app run on devices that appear modified, compromised or unsafe.

Downloading the app and creating an account are free. Some payments carry a service fee. For every payment, the app shows the bill amount, the service fee and the total side by side before you confirm. By approving the payment you accept that total.

Your mobile money provider may also charge its own transaction or withdrawal fees, which are outside our control. We may change our service fees from time to time. Changes apply to payments made after the new fee is shown in the app.

7. Failed, delayed or disputed payments

Every payment has a status in your transaction history. If money leaves your wallet but the biller does not confirm the payment, contact us at support@nooapay.com, by phone on +256 200 909 475, or on WhatsApp on +256 766 180 571, and give us the transaction reference. We will investigate with the biller and the payment network and work to resolve it.

If a payment fails and your money was deducted, we will work to have the amount returned to your mobile money wallet or the payment completed. Timelines depend on the biller and mobile money provider. Please contact us promptly, as some billers only accept disputes for a limited period.

We are not responsible for losses caused by wrong details you entered, or by a biller crediting an account number that you provided.

8. Saved sources, templates and receipts

You can save mobile money numbers as payment sources and save bill details as templates for faster repeat payments. You are responsible for keeping these up to date and for removing any you no longer use. Receipts and history are provided for your records and are not tax invoices unless a biller states otherwise.

9. NOOA Pay Agents

You can apply to become a NOOA Pay Agent from your profile in the app. Approval is at our discretion. If approved, you may process payments for customers and earn commissions and bonuses as shown in the app. In addition to the rest of these Terms, agents agree to:

Commission and bonus rates are shown in the app and may change. We may withhold, reverse or recover commissions earned through fraud, error or breach of these Terms, and we may suspend or end an agent's access at any time. Agents are independent and are not employees, partners or legal representatives of NOOA Energies.

10. Referral programme

Every account has a personal referral code. You may earn a reward when someone signs up with your code and meets the conditions of the programme shown in the app. Rewards may change or end at any time. We may refuse or cancel rewards for fake accounts, self-referrals, spam or any abuse of the programme.

You agree not to:

We may block transactions, suspend or close accounts, and report suspicious activity to the authorities where we believe these rules, or the law, have been broken.

12. Third-party services

NOOA Pay depends on third parties, including MTN, Airtel, the Interswitch biller network and the billers you pay. Their systems may be slow, unavailable or change without notice, and their own terms apply to their services. We are not responsible for their acts or omissions, though we will help you raise a problem with them where we can.

13. Availability and changes to the Service

We aim to keep NOOA Pay available 24/7, but we cannot promise the Service will always be uninterrupted or error-free. It may be unavailable for maintenance, upgrades, network or biller outages, or events outside our control. We may add, change or remove billers, features and parts of the Service at any time.

14. Intellectual property

The NOOA Pay name, logo, app, website, designs and content belong to NOOA Energies or its licensors and are protected by law. We give you a limited, personal, non-exclusive, non-transferable and revocable licence to use the app for its intended purpose. Biller names and logos belong to their owners and appear only to identify the billers you can pay.

15. Our responsibility to you

We will provide the Service with reasonable care and skill. To the fullest extent allowed by law:

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud or for death or personal injury caused by negligence, nor does it limit any rights you have as a consumer under Ugandan law.

16. Suspension and closing your account

You can stop using NOOA Pay at any time and ask us to delete your account by emailing support@nooapay.com. We may suspend or close your account, or limit what you can do, if you break these Terms, if we suspect fraud or unlawful activity, if we are required to by law or by a partner, or if your account has been inactive for a long period. Where reasonable and lawful, we will tell you why. Some records must be kept after closure, as described in our Privacy Policy. Sections that by their nature should continue after closure, such as those on liability, intellectual property and governing law, will continue to apply.

17. Changes to these Terms

We may update these Terms from time to time, for example to reflect new features, billers or legal requirements. We will post the updated version here with a new "Last updated" date and, for important changes, notify you in the app or by email. If you keep using NOOA Pay after the change takes effect, you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda. If you have a complaint, please contact us first at support@nooapay.com so we can try to resolve it informally. If we cannot resolve it, the courts of Uganda have jurisdiction, unless the law gives you the right to bring a claim elsewhere.

19. General

If any part of these Terms is found to be unenforceable, the rest will still apply. If we do not enforce a right straight away, we have not given it up. You may not transfer your rights under these Terms to anyone else; we may transfer ours to a successor or affiliated business. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service.
